These Terms require German legal review before general commercial launch, especially liability, price changes, suspension, termination and jurisdiction.
1. Provider and business customers
Provider: Juchi Europe GmbH, Gutenbergstraße 39/1, 72555 Metzingen, Germany; Amtsgericht Stuttgart, HRB 764626; VAT ID DE318380318. The Services are offered exclusively to entrepreneurs within the meaning of Section 14 BGB. Consumers may not register or purchase. The registrant confirms authority for the business.
2. Contract and trial
A website request, email or free-trial start does not create a paid contract. Professional begins only after acceptance of a clear quotation or order confirmation. The 14-day trial requires no card and never converts automatically to paid service.
3. Plans
- Starter: currently free; up to 50 orders/month and one channel; change or discontinuation after reasonable notice.
- Professional: €49/month excluding VAT; monthly billing, no minimum term; cancellation at the end of the paid period.
- Enterprise: individual quotation; individual terms prevail on conflict.
4. Limits
Order/channel limits, fair use and abuse protection apply. A limit produces a warning or upgrade path; orders are not silently discarded.
5. Customer responsibilities
Customers are responsible for account security, lawful and accurate data, authorised users, integration permissions, API use, and product/consumer compliance.
6. Integrations and content
Third-party platforms, carriers and AI providers have their own terms. Customers retain content rights and grant only the limited licence needed to provide the service, warranting the required rights and legal basis.
7. AI/BYOK
Customers select the provider and supply the key. Destination and scope are shown before transfer. Output may be inaccurate or affect third-party rights and requires human review. No SEO, conversion, accuracy or non-infringement guarantee is given.
8. Data protection
The Privacy Policy governs controller processing; the DPA forms part of the contract for processor activities.
9. Operation and suspension
No unimplemented SLA is promised. Suspension is limited to security, illegality, non-payment or serious breach, normally with notice and a cure period unless urgent.
10. Termination, export and deletion
Professional ends at the paid period's end. A reasonable export opportunity is provided. Online data is deleted within 30 days, subject to backup and statutory exceptions.
11. Liability
Liability is unlimited for intent, gross negligence, life/body/health, fraud, guarantees and mandatory product liability. Ordinary negligence is limited to essential duties and foreseeable typical loss. A final monetary cap requires counsel.
12. Changes
Material term/price changes receive reasonable advance notice and do not rely on unlimited authority inferred only from continued use.
13. Law and jurisdiction
German law applies; CISG exclusion remains subject to counsel. Where legally permitted for B2B parties, courts at the provider's registered office have jurisdiction.
